pepelwerk Artificial Intelligence Career Assistant and Talent Wallet User Agreement Effective Date: July 1, 2026 These Terms and Conditions of Use apply to and govern access to pepelwerk digital products, content, and offline services made available by the Company. The Services are intended for lawful use by individuals and organizations acting with integrity, authenticity, and respect for others. By accessing or using pepelwerk, you agree to comply with these Terms and Conditions. These Terms of Use are entered into by and between you and pepelwerk, LLC, doing business as pepelwerk ("Company," "we," "our," or "us"). These Terms of Use, together with any documents expressly incorporated by reference, govern your access to and use of the pepelwerk Career Assistant, Talent Wallet, related digital products, content, functionality, mobile applications, and offline services made available by the Company, whether accessed through a pepelwerk-owned platform, third-party platform, application, or other service channel (collectively, the "Services"). Please read these Terms of Use carefully before using the Services. By accessing, using, interacting with, or continuing to access the Services, or by clicking to accept or agree to these Terms of Use when that option is made available, you accept and agree to be bound by these Terms of Use and acknowledge that information collected through the Services will be handled in accordance with the Privacy Policy and any applicable product-specific notice or consent. If you do not agree to these Terms of Use, you must not access or use the Services. Your decision to access or use the Services, whether or not you create an account, constitutes your agreement to these Terms of Use. 1. Definitions and Authorized Use

For purposes of these Terms of Use, "Guest" means any person, company, organization, or software system that accesses or views the Services, data, content, products, or materials without registering for an account. "User" means any person, company, or organization that registers for or otherwise uses the Services, data, or content. Guests and Users may use the Services only for lawful, authorized, and appropriate purposes.

2. Use of the Services

2.1 Who Can Use Content made available through the Services may have eligibility requirements, age limitations, or additional terms. By using the Services, you confirm that you are of legal age to form a binding contract with the Company or have obtained any required consent from a legal guardian, and that you meet applicable eligibility requirements for the Services you access. 2.2 Changes to these Terms of Use We may revise and update these Terms of Use from time to time. Changes are effective when posted or otherwise made available through a legally valid method, subject to the Pepelwerk Terms of Use and applicable law. Your continued use of the Services following the posting of revised Terms of Use means that you accept and agree to the changes. You are responsible for reviewing these Terms of Use periodically so that you are aware of any changes, as they are binding on you. 2.3 Reliance on Information Posted Information presented on or through the Services is made available for general information and service-related purposes. Use of such information remains subject to the Pepelwerk Terms of Use and, for AI-generated outputs, the Pepelwerk AI Recommendation Terms and Limitations. The Services may include content provided by third parties, including materials provided by other users, bloggers, third-party licensors, syndicators, aggregators, or reporting services. Third-party content remains subject to the terms, policies, and notices that apply to that content or provider. 2.4 Changes to the Services The Company may update, modify, add, remove, or change content and functionality available through the Services from time to time, subject to the Pepelwerk Terms of Use and any applicable product-specific terms. 2.5 Information About You and Your Use of the Services Information collected through the Services is handled in accordance with the Pepelwerk Privacy Policy and any applicable product-specific consent or notice. Collection and use of biometric data is governed exclusively by the Pepelwerk Biometric Data Consent. 2.6 Online Purchases and Additional Terms Purchases through the web-based portal or purchases made on your behalf that relate to transactions, access, services, or information available through the Services are governed by the Payment Terms, which are incorporated into these Terms of Use. Additional terms and conditions may also apply to specific portions, services or features of the Services. All such additional terms and conditions are hereby incorporated by this reference into the Terms of Use. 2.7 Geographic Restrictions The Company is headquartered in Texas, United States. The Services are made available only in countries, regions, states, or other locations that are expressly enabled, identified, or supported by the Company through the platform or applicable Service configuration. Availability of the Services, features, content, programs, Access Codes, marketplace opportunities, and third-party offerings may vary by location and may be limited, modified, restricted, suspended, or discontinued based on legal, regulatory, operational, contractual, or program-specific requirements. Users who access or attempt to access the Services from a location where access is not enabled, restricted, or prohibited are responsible for complying with applicable laws and must not use the Services in violation of these Terms of Use or applicable law.

3. Ownership and Use of Content

3.1 Intellectual Property Rights The Services and their contents, features, and functionality, including information, software, text, displays, images, video, audio, design, selection, and arrangement, are owned by the Company, its licensors, or other providers of such material and are protected by United States and international intellectual property and proprietary rights laws. These Terms of Use permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Services, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental

to your accessing and viewing those materials.

• You may store files that are automatically cached by your Web browser for

display enhancement purposes.

• You may print or download one copy of a reasonable number of pages of the

Services for your own personal, non-commercial use and not for further reproduction, publication or distribution.

• If we provide desktop, mobile or other applications for download, you may

download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.

• If we provide social media features with certain content, you may take such

actions as are enabled by such features. You must not:

• Modify copies of any materials from this site.
• Use any illustrations, photographs, video or audio sequences or any graphics

separately from the accompanying text.

• Delete or alter any copyright, trademark or other proprietary rights notices from

copies of materials from this site. You must not access or use for any commercial purposes any part of the Services or any services or materials available through the Services. If you wish to make any use of material on the Services other than that set out in this section, please address your request to: info@pepelwerk.com If you print, copy, modify, download or otherwise use or provide any other person with access to any part of the Services in breach of the Terms of Use, your right to use the Services will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title or interest in or to the Services or any content on the Services is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Services not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark and other laws. 3.2 Trademarks The Company name, the terms and slogans, the Company logo and all related names, logos, product and service names, designs and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs and slogans on this Services are the trademarks of their respective owners. 3.3 Copyright Infringement If you believe that any User Contributions violate your copyright, please see our Copyright Policy or instructions on sending us a notice of copyright infringement. It is the policy of the Company to terminate the user accounts of repeat infringers. 3.4 User Contributions The Services may contain sharing functions, news feeds, message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the Services. All User Contributions must comply with the Content Standards set out below in these Terms of Use. Any User Contribution you post to the Services or your account will be handled in accordance with these Terms of Use, applicable account settings, the intended functionality of the Services, the Privacy Policy, and any applicable consent or notice. By providing any User Contribution through the Services, you authorize the Company and its affiliates, service providers, licensees, successors, and assigns to use such material as reasonably necessary to provide, operate, support, secure, and improve the Services, subject to applicable law, the Privacy Policy, and applicable product- specific notices or consents. You represent and warrant that:

• You own or control all rights in and to the User Contributions and have the right

to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.

• All your User Contributions do and will comply with these Terms of Use.

You are responsible for the User Contributions you submit or contribute, including ensuring that they comply with these Terms of Use, applicable law, and any applicable product-specific terms.

4. Third Party Links and Services

The Services may link to, interact with, or be made available through third-party services, products, platforms, or devices. Use of third-party services is governed by the terms, privacy policies, and notices provided by those third parties. 4.1 Social Networking and Logins You may enable or log in to the Services through certain third-party services, such as social media or social networking services. If you choose to use those features, information may be exchanged as part of the integration. Pepelwerk handles information it receives through such integrations in accordance with the Privacy Policy and any applicable consent or notice. The third-party service’s collection, use, storage, and disclosure of information is governed by that third party’s own terms, privacy policies, and notices. 4.2 Third-Party Applications You may be able to access certain third-party links, applications, content, services, promotions, special offers, or other events or activities ("Third-Party Applications") through the Services. If you choose to access Third-Party Applications, you may be asked to log in, connect, or sync your account with those applications. Use of Third- Party Applications is governed by the applicable third-party terms, policies, and notices. 4.3 Third-Party Products The Services may be accessed on third-party devices or other products ("Third-Party Products"), and use of certain features may require compatible Third-Party Products. Acquisition and use of Third-Party Products are governed by the terms, policies, warranties, and notices provided by the applicable third party. 4.4 Linking to the Services and Social Media Features You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part without our express written consent. The Services may provide certain social media features that enable you to:

• Link from your own website or certain third-party services to specific content on

the Services.

• Send emails or other communications with specific content, or links to specific

content, available through the Services.

• Cause limited portions of content from the Services to be displayed or appear to

be displayed on your own website or certain third-party services. You may use these features solely as they are provided by us solely with respect to the content they are displayed with and otherwise in accordance with any additional terms and conditions we provide with respect to such features. Subject to the foregoing, you must not:

• Establish a link from any Services that is not owned by you.
• Cause the Services or portions of it to be displayed, or appear to be displayed

by, for example, framing, deep linking or in-line linking, on any other site.

• Link to any part of the Services other than the homepage.
• Otherwise take any action with respect to the materials on this Services that is

inconsistent with any other provision of these Terms of Use. The Services from which you are linking, or on which you make certain content accessible, must comply in all respects with the Content Standards set out in these Terms of Use. You agree to cooperate with us in causing any unauthorized framing or linking immediately to cease. We reserve the right to withdraw linking permission without notice. We may disable all or any social media features and any links at any time without notice in our discretion. 4.5 Links from the Services If the Services contain links to sites or resources provided by third parties, those links are provided for convenience. Use of third-party sites or resources is governed by the terms, policies, and notices that apply to those third-party services.

5. Accessing Services

The Company may make the Services available through multiple platforms, app stores, marketplaces, or devices, but availability may vary. Each platform, app store, marketplace, or device provider may impose separate requirements, technical limitations, policies, or legal obligations that affect access to or use of the Services. If you have an access concern, please email info@pepelwerk.com 5.1 App Stores App availability, compatibility, and feature access may vary by app store, platform, device, and web-based experience. If you use an App, standard data, messaging, carrier, and device-related rates may apply, and the rules of the applicable app store also apply. If you download the App from a third-party app store (the "App Provider"), you acknowledge and agree that:

• The Terms are an agreement between us, and not with the App Provider. As

between pepelwerk and the App Provider, pepelwerk is solely responsible for its applications.

• The App Provider has no obligation to provide any maintenance and support

services with respect to the App.

• If a third party claims the App infringes another party’s intellectual property

rights, as between the App Provider and Pepelwerk, Pepelwerk will be responsible for the investigation, defense, settlement, and discharge of any such claim to the extent required by these Terms.

• The App Provider and its subsidiaries are third-party beneficiaries of these Terms

as they relate to your license to the App. Upon your acceptance of these Terms, the App Provider will have the right to enforce these Terms as related to your license of the App against you as a third-party beneficiary.

• You must also comply with all applicable third-party terms of service when using

the App. 5.2 Wireless Carrier and Device Considerations Use of the App requires a compatible device. The Company does not charge separately for general use of the App unless a paid feature, product, or service is selected. Standard messaging, data, carrier, and device-related rates and fees may apply. Access to certain features or content may require payment. 5.3 Mobile Application License We hereby grant you a limited, personal, non-exclusive, non-transferable, non- sublicensable, revocable license to use the App downloaded directly from a legitimate marketplace, solely in object code format and solely for your personal use for lawful purposes. With respect to any open source or third-party code that may be incorporated in the App, such open-source code is covered by the applicable open source or third-party license EULA, if any, authorizing use of such code.

6. Career Assistant, Talent Wallet, Learning, and Related Services

Pepelwerk provides informational, automated, and assistive outputs based on user- provided information. Use of those tools and resources is subject to the Pepelwerk Terms of Use and any applicable product-specific terms. Users are responsible for their own communications and interactions with other users, organizations, and third parties through or in connection with the Services. Pepelwerk provides informational, automated, and assistive outputs based on user- provided information. General disclaimers and limitations are governed by the Pepelwerk Terms of Use, and AI-specific limitations are governed by the Pepelwerk AI Recommendation Terms and Limitations. Liability is governed by the Pepelwerk Terms of Use. All AI-generated outputs are subject to the Pepelwerk AI Recommendation Terms and Limitations. AI outputs are assistive only and do not constitute decisions or advice. Matching outputs, including match scores or percentages, are governed by the AI Recommendation Terms and are probabilistic and non-deterministic. Pepelwerk does not undertake any duty to ensure accuracy, fairness, or suitability of AI-generated outputs. 6.1 Career Assistant and Talent Wallet The pepelwerk Career Assistant is designed to support users in managing work-life goals, career planning, skills development, learning pathways, job exploration, and related marketplace activity based on information the user chooses to provide. The Career Assistant may be used independently by an individual user or as part of a program, benefit, workforce initiative, membership service, school offering, employer service, union benefit, city or government program, community organization, or other organization-approved use of the Services. AI Career Assistant functionality provides assistive, informational, and decision- support interactions as defined in the Pepelwerk AI Recommendation Terms and Guidance Agreement. Pepelwerk provides informational, automated, and assistive outputs based on user- provided information. Second, the Services may function as a Talent Wallet that allows users to maintain, organize, secure, update, and share career-related information, including credentials, education records, skills, work history, verified and self-entered information, work preferences, and one or more Talent profiles. Users control the information they provide and are responsible for keeping their Talent Wallet accurate, current, lawful, and complete. Users may choose to share all or part of their Talent Wallet with employers, organizations, schools, program sponsors, marketplaces, service providers, or other persons or entities they select, subject to account settings, available functionality, consent requirements, and applicable laws. Users are solely responsible for any decisions made by third parties based on information shared through the Talent Wallet. The Company may limit, modify, suspend, discontinue, restrict, or change any Career Assistant or Talent Wallet function, credential display, sharing option, profile format, automation, or related Service at any time, subject to the Pepelwerk Terms of Use and any applicable product-specific terms. Pepelwerk provides informational, automated, and assistive outputs based on user- provided information. Job matching, job profile introductions, talent matching, or marketplace recommendations made through pepelwerk are subject to the Pepelwerk Terms of Use and, when applicable, the Pepelwerk AI Recommendation Terms and Limitations. 6.2 Payment, Self-Pay, and Access Codes Users may access eligible Career Assistant, Talent Wallet, marketplace, credential, profile, coaching, learning, program, or other pepelwerk products and services either by self-pay or through an Access Code, when available. All features, products, and services that require payment must be paid for in advance using the payment methods made available to the user within the applicable product or service experience. Access to paid features, products, or services may be limited, suspended, or unavailable until payment has been completed, authorized, or otherwise confirmed by pepelwerk. An "Access Code" means a code, credit, authorization, sponsorship, or other access method provided or paid for by someone other than the user, including another individual, employer, city, school, union, member group, workforce program, community organization, sponsor, or other organization, for the temporary use of eligible Career Assistant, Talent Wallet, or related pepelwerk products or services. Access Codes do not include, represent, or provide any cash amount, stored value, cash equivalent, refund right, gift card value, wage, stipend, benefit payment, or payment owed directly to the user. Access Codes may only be applied to eligible pepelwerk products or services and may not be exchanged, transferred, redeemed, withdrawn, or converted for cash or anything of value outside the Services. Access Codes may be temporary, limited in duration, restricted to specific products, services, organizations, user groups, programs, locations, eligibility rules, or usage limits, and may expire, be revoked, or be modified according to the terms set by pepelwerk or the payor of the Access Code. By accepting or using an Access Code, the user acknowledges that pepelwerk may provide reporting to the person, organization, sponsor, or other payor that provided or paid for the Access Code, as permitted by the Privacy Policy, applicable law, user consent, account settings, and any applicable product-specific notice. Reporting may include permitted information related to program administration, usage, outcomes, participation, service delivery, funding impact, or other purposes connected to the Access Code. Sponsor, payor, or organization reporting does not grant ownership of, or unrestricted access to, a user’s Talent Wallet, profile data, credentials, personal preferences, messages, or user-level activity unless permitted by law, user consent, account settings, and applicable privacy terms. 6.3 Learning Center and Recommended Courses Pepelwerk provides informational, automated, and assistive outputs based on user- provided information. The Learning Center may display, organize, or make available courses, classes, lessons, training programs, learning pathways, credentials, certifications, degree-related content, licensing-related content, master classes, or other educational or skills-development resources. Users decide whether to register for, enroll in, purchase, complete, rely on, or otherwise participate in any course or learning opportunity. Course-related outputs, displays, matches, pathways, or availability through the Learning Center are subject to the Pepelwerk Terms of Use and, when applicable, the Pepelwerk AI Recommendation Terms and Limitations. Course providers may include individual experts, independent teachers, coaches, instructors, master class providers, schools, colleges, universities, training companies, credentialing organizations, certification bodies, employers, workforce programs, licensing-related content providers, degree program providers, or other third-party content providers. Course provider content and participation are governed by the terms, policies, and notices applicable to the course provider and the Services. Users should review the course provider’s terms, requirements, refund policies, completion rules, accreditation claims, transferability, credential value, and any third- party recognition before registering for or enrolling in a course. 6.4 Safety First Pepelwerk is designed as a controlled marketplace environment that supports user- directed sharing through account settings, available functionality, and applicable consents. Privacy-related collection, use, disclosure, and sharing of information are governed by the Privacy Policy and any applicable product-specific notice or consent. Safety and security practices remain subject to the Pepelwerk Terms of Use. Users should follow reasonable safety and security practices, including the following:

• Keep communications within the platform when available.
• Do not share a home address or other sensitive personal information with

persons you do not know or trust.

• If meeting another person in person, consider meeting in a public location during

daylight hours. If you feel threatened or unsafe, report the concern to info@pepelwerk.com. 6.5 Activity Information Pepelwerk provides informational, automated, and assistive outputs based on user- provided information. Activity or engagement information may be used to support functionality, reporting, personalization, service administration, and related purposes as described in the Privacy Policy and any applicable product-specific notice or consent. Users are responsible for reviewing and correcting information they provide through the Services.

7. Waiver and Severability

A waiver by the Company of any term or condition set forth in these Terms will not be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of the Company to assert a right or provision under these Terms will not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision will be eliminated or limited to the minimum extent necessary so that the remaining provisions remain in full force and effect.

8. Relationship to Pepelwerk Terms of Use

This Agreement supplements and is incorporated into the Pepelwerk Terms of Use, Privacy Policy, Payment Terms, Copyright Policy, Pepelwerk AI Recommendation Terms and Limitations, Pepelwerk Biometric Data Consent, and any applicable user, product, or service agreement. The Pepelwerk Terms of Use control in the event of any conflict between those Terms of Use and this Agreement, unless a separate written agreement signed by pepelwerk expressly states otherwise. General disclaimers, warranty limitations, liability limitations, dispute resolution, and remedies are governed by the Pepelwerk Terms of Use. AI-specific disclaimers and limitations are governed by the Pepelwerk AI Recommendation Terms and Limitations. The Privacy Policy controls privacy-related matters, including collection, use, processing, disclosure, sharing, retention, deletion, and privacy rights. The Pepelwerk Biometric Data Consent controls collection and use of biometric data.
