pepelwerk Career Coaching, Support, Guidance, and AI Services User Agreement Effective Date: July 1, 2026 Please read pepelwerk’s Guidance Services Terms and Conditions ("Agreement") carefully. By accessing, downloading, scheduling, attending, interacting with, or using any part of the pepelwerk AI Career Assistant, software applications, coaching marketplace, Guidance Module, or related services ("Services"), you ("You" and, where applicable, "Your") accept this Agreement from pepelwerk, LLC ("pepelwerk"). This Agreement applies to support, interactions, and decision-support inputs delivered by software, artificial intelligence, automation, human career coaches, mentors, support providers, contractors, marketplace participants, or any other person or tool made available through the Services. Pepelwerk provides assistive, informational, and decision-support interactions through a combination of artificial intelligence and human coaching. These interactions may include prompts, questions, data-driven feedback, structured planning inputs, and other forms of support based on information You provide. If You use, accept, rely on, or take action based on any Guidance, You do so voluntarily, independently, and at Your own risk. Pepelwerk’s Services are designed to support users in evaluating their own options and making independent decisions. Pepelwerk does not make decisions or recommendations on behalf of users. Both human-provided and AI-generated interactions are intended to support user reflection and decision-making and should not be interpreted as definitive recommendations or instructions. Users are solely responsible for evaluating and determining whether to act on any interaction, output, or information. The Services are provided for informational, educational, planning, and self- management purposes only. They are not professional, legal, financial, medical, mental health, therapeutic, educational-placement, immigration, employment, or tax support requiring professional licensure, and pepelwerk is not responsible for adverse results, missed opportunities, costs, damages, decisions, or consequences arising from Your reliance on the Services. You agree to be bound by all the terms and conditions of this Agreement. You agree that it is enforceable as if it were a written negotiated agreement signed by You. If You do not agree to the terms of this Agreement, You may not access, download and/or use the pepelwerk Services. If You are entering into this Agreement on behalf of a company, guardian of a minor or other legal entity, You hereby represent that You have the authority to bind such entity or person to this Agreement, in which case the term "You" shall be construed to refer to such entity or person. In consideration of the mutual covenants contained in this Agreement, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, You and pepelwerk agree as follows: Important Legal Notice: This Agreement is intended to allocate risk to the fullest extent permitted by applicable law. Some jurisdictions do not allow certain warranty disclaimers, liability exclusions, limitations on damages, arbitration requirements, parental consent procedures, or releases for negligence. In those jurisdictions, the applicable provisions will apply only to the maximum extent permitted by law.

1. Pepelwerk Guidance Module and Services

Pepelwerk offers access to career guidance tools, mentors, career coaches, AI agents, recommendations engines, planning features, learning resources, connection tools, and related applications, including the right to access and use pepelwerk’s mobile applications and online platform (the "pepelwerk Platform") during applicable access or subscription periods (each, a "Subscription Period"), together with standard pepelwerk support (collectively, the "Services"). Pepelwerk may provide Services pursuant to orders placed by You or by another legal entity on Your behalf through the pepelwerk Platform. Each Order may include the applicable access period, subscription period, and associated fees. Each Order must be accepted by pepelwerk to become valid and is incorporated into this Agreement by reference. If there is a conflict between an Order and this Agreement, this Agreement will govern unless the Order expressly states otherwise and is accepted in writing by pepelwerk. 1.1 No Guaranteed Outcome. Pepelwerk does not guarantee that use of the Services will result in employment, admission to a program, credential completion, income, promotion, hiring, selection, business opportunity, scholarship, funding, mentorship, networking connection, visa or immigration outcome, or any specific work, earn, learning, or connecting goal. You are solely responsible for determining whether any recommendation, plan, resource, coach, AI response, or opportunity is appropriate for You. 1.2 Independent Contractors and Third-Party Providers. Human career coaches, mentors, support providers, subject-matter contributors, marketplace providers, and other non-employee service providers are independent contractors or third parties unless pepelwerk expressly states otherwise in writing. Independent contractors and human service providers offer their own perspectives and interactions and do not provide services on behalf of pepelwerk as agents, representatives, or authorized decision-makers. They are not employees, agents, partners, joint venturers, fiduciaries, legal representatives, or authorized decision-makers of pepelwerk. Pepelwerk does not control the day-to-day methods, statements, opinions, schedules, support, availability, professional judgment, perspectives, interactions, or conduct of independent contractors or third-party providers. Pepelwerk is not responsible for their acts, omissions, negligence, misconduct, credentials, licensing status, decision- support inputs, representations, or failure to perform, except to the extent liability cannot be excluded under applicable law. 1.3 AI Agents and Automated Guidance. AI agents, automated recommendations, matching tools, summaries, prompts, plans, and generated outputs are probabilistic and may be incomplete, inaccurate, outdated, biased, unavailable, inappropriate for Your jurisdiction, or unsuitable for Your individual circumstances. AI outputs do not replace independent human judgment or regulated professional support. You must review, verify, and independently evaluate all AI-generated or automated outputs before relying on them or sharing them with others. AI-generated outputs and recommendation-related functionality are also governed by the Pepelwerk AI Recommendation Terms and Limitations, which are incorporated by reference into this Agreement. 1.4 Regulated Support Excluded. The Services are not intended to diagnose, treat, prevent, or manage any medical, mental health, disability, legal, financial, tax, immigration, benefits, educational-accommodation, or employment-law issue. Pepelwerk and its service providers do not provide professional, licensed, or regulated advisory services, and no interaction should be interpreted as such. If You need support in one of those areas, You should consult a qualified professional licensed or authorized in Your jurisdiction.

2. Your Interactions, Restrictions, Reporting, and Responsible Use

Your interactions with pepelwerk, human coaches, mentors, support providers, AI agents, automated tools, and other users are subject to this Agreement, the Privacy Policy, and applicable platform rules. Pepelwerk may use data, information, content, or materials collected or received from You through these interactions in accordance with this Agreement and the Privacy Policy. You are responsible for Your own decisions, communications, disclosures, meetings, safety practices, account security, and reliance on any Guidance. You will not, and will not allow anyone else to, (a) rent, lease, copy, disclose, provide access to, or sublicense the pepelwerk Platform; (b) use the pepelwerk Platform to provide services to a third party without written authorization; (c) publicly disseminate non-public information regarding platform performance; (d) misrepresent Your identity, age, qualifications, needs, or eligibility; (e) request or provide illegal, discriminatory, harassing, unsafe, exploitative, or harmful support, interaction, or decision-support input; or (f) use the Services to make decisions that require professional licensure or legally mandated human review.

3. Safety First

Pepelwerk cares about Your safety. Pepelwerk is a closed private marketplace, meaning Your profile and personal information are not intended to be searchable on a public website. This reduces, but does not eliminate, the risk that personal information may be misused, scraped, accessed without authorization, disclosed by You or another user, or exposed through third-party systems. Follow these guidelines to improve Your safety and security:

• Keep communications, scheduling, document sharing, and payments inside the

platform unless pepelwerk expressly authorizes another method.

• Do not give anyone Your home address, financial account information, government

identification numbers, passwords, one-time codes, health records, immigration documents, school records, or other sensitive personal information unless You independently determine it is necessary and safe.

• If You meet someone in person, choose a public location, meet during daylight hours

where possible, tell a trusted person where You are going, and use Your own transportation.

• If You feel threatened, pressured, exploited, harassed, unsafe, or asked to do

something illegal or inappropriate, stop the interaction and report the concern to info@pepelwerk.com.

• If You are under 18, do not schedule or attend any private, off-platform, or in-person

meeting with a coach, mentor, support provider, employer, school, training provider, or other user unless Your parent or legal guardian has reviewed and approved the meeting and all applicable platform requirements are satisfied. To the fullest extent permitted by applicable law, pepelwerk is not responsible or liable, directly or indirectly, for any injury, illness, loss, emotional distress, reputational harm, financial loss, lost opportunity, employment consequence, educational consequence, physical harm, property damage, data loss, or other damages arising from Your use of, inability to use, reliance on, or interaction with the Services, Content, AI outputs, human coaches, mentors, support providers, third parties, activities, meetings, opportunities, or recommendations accessed through the Services, even if caused in whole or in part by the action, inaction, or negligence of pepelwerk or others, except where such exclusion is prohibited by law.

4. Disclaimer Regarding Accuracy, Reliance, AI Outputs, and User-

Generated Content Pepelwerk makes no representations or warranties as to the accuracy, reliability, completeness, timeliness, legality, availability, suitability, non-infringement, fairness, or usefulness of any Content, AI output, coach statement, plan, match, recommendation, ranking, prompt, summary, decision-support input, or other information available through the Services, and pepelwerk has no obligation to update such information. Pepelwerk does not undertake any duty to ensure that guidance interactions, coaching sessions, or outputs are accurate, complete, fair, or suitable for any specific outcome. User-generated content, including support, statements, decision-support inputs, documents, chat messages, profile information, claims of expertise, or other information provided by users, coaches, mentors, support providers, employers, schools, training providers, or third parties, is not produced by pepelwerk and should not be relied on without independent verification. User-generated content, whether publicly posted, privately transmitted, or delivered through a coaching, support, or guidance interaction, is the sole responsibility of the person or entity from whom it originated. All information is provided "as is" and "as available" without any representation, warranty, guarantee, or condition as to accuracy, reliability, usefulness, legality, safety, or fitness for a particular purpose. Pepelwerk’s matching database, recommendation engine, AI assistant, goal planning tools, and related systems may contain a combination of information entered by pepelwerk, pepelwerk members, users, coaches, third-party providers, public or commercial sources, automated systems, and external data providers. Any user or provider may contribute to or edit information that affects recommendations or matches. Matching, recommendation, and planning information may not have been reviewed by a person with expertise required to evaluate Your specific situation, jurisdiction, legal status, disability accommodations, educational requirements, employment eligibility, financial needs, or safety risks. Pepelwerk does not guarantee the accuracy, completeness, availability, fairness, usefulness, or suitability of any match, recommendation, plan, credential pathway, job pathway, income estimate, learning pathway, coach suggestion, support provider suggestion, or connection. Matching features, including any displayed match scores or percentages, are probabilistic and are intended as informational indicators only. They are not decisions, evaluations, or determinations of suitability. To the fullest extent permitted by applicable law, pepelwerk will not be responsible for any loss or damage, including physical, mental, emotional, financial, educational, employment, immigration, reputational, or opportunity-related loss, resulting from Your reliance on the matching database, AI output, plan, recommendation, content, or guidance. You are solely responsible for verifying, using, interpreting, and acting on this information. Not all users, coaches, mentors, support providers, or providers who identify themselves as career coaches, counselors, mentors, trainers, experts, recruiters, educators, or support providers are licensed, certified, screened, credentialed, insured, or required to be licensed in all applicable jurisdictions. Unless pepelwerk expressly states otherwise in writing, pepelwerk has no obligation to verify their credentials, licensing status, certifications, education, employment history, background, insurance, or qualifications. Relying on any support, decision-support input, plan, statement, interaction, or representation provided by another user, coach, mentor, support provider, AI agent, automated tool, employer, school, training provider, or third party is at Your own risk. To the fullest extent permitted by applicable law, under no circumstances will pepelwerk be responsible or liable for any loss, damage, injury, cost, claim, penalty, missed opportunity, or adverse outcome resulting from Your reliance on information, support, coaching, mentoring, AI outputs, decision-support inputs, or guidance provided by any user, independent contractor, coach, mentor, support provider, AI agent, automated system, employer, school, training provider, or third party. Optional or premium Services may provide access to specialized content, coaching, guidance, goal-setting tools, learning plans, connection plans, and work or earning plans ("Plans"). Plans are decision-support inputs only. They are informational interactions, prompts, and planning aids, not promises, guarantees, mandates, regulated professional support, or substitutes for Your independent actions, due diligence, consent, judgment, or responsibility to achieve Your work, earn, learning, or connecting goals.

YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH THE PLANS.

5. Minors, Parents, Guardians, and Youth Users

If You are under 18, You may use the Services only with the involvement, consent, and supervision of a parent, legal guardian, school, agency, employer, or other authorized adult or organization as required by applicable law and pepelwerk policies. A parent or legal guardian who permits a minor to use the Services accepts this Agreement on the minor’s behalf and is responsible for the minor’s use of the Services, decisions, interactions, disclosures, meetings, and reliance on Guidance. For users under 13, pepelwerk may require verifiable parental consent before collecting, using, or disclosing personal information, consistent with the Children’s Online Privacy Protection Act and other applicable law. For users under 18, additional state, country, school, workforce-program, grant, or agency requirements may apply, including parental consent, age assurance, data minimization, privacy-by-default settings, limits on profiling, limits on targeted advertising, restrictions on direct messaging, and special rules for online services likely to be accessed by minors. Minors should not provide sensitive personal information, meet privately with adults, participate in off-platform communications, accept jobs, training, travel, payments, credentials, or opportunities, or make significant education, work, financial, or safety decisions based on Guidance without review and approval by a parent, legal guardian, authorized school representative, or other responsible adult. Pepelwerk may suspend, limit, or terminate access if it cannot verify required consent or believes continued use may create legal, safety, privacy, or welfare risks. Because minor-protection laws vary by state and country and continue to evolve, pepelwerk may apply different consent, access, privacy, communication, AI, or safety controls based on the user’s age, location, program, school, sponsoring entity, or legal requirements. If You are a parent, guardian, school, agency, employer, or program sponsor, You are responsible for determining whether use of the Services is appropriate and legally permitted for the minor users You authorize.

6. Privacy, AI, Consumer Protection, and Location-Specific Compliance

Pepelwerk’s collection and use of personal information is governed by its Privacy Policy and applicable privacy, consumer protection, AI, employment, education, and child- safety laws. Depending on Your location, these laws may include comprehensive state privacy laws, children’s online privacy laws, biometric and sensitive data rules, data broker laws, breach notification laws, AI transparency or automated decision-making laws, and international privacy regimes. Pepelwerk may modify features, disclosures, consents, data rights, retention periods, profiling practices, AI controls, or access to Services to comply with applicable law. If You are located in Texas or use Services directed to Texas residents, You may have rights under the Texas Data Privacy and Security Act and related Texas privacy and consumer protection laws, including rights to access, correct, delete, and opt out of certain processing of personal data where applicable. If You are located in California, Colorado, Connecticut, Utah, Virginia, or another jurisdiction with privacy, AI, or youth- safety laws, Your rights and pepelwerk’s obligations may differ. If You are located outside the United States, local privacy, consumer, labor, education, child protection, and AI rules may impose additional requirements or restrictions. Pepelwerk does not represent that the Services, coaches, AI agents, recommendations, opportunities, programs, jobs, learning pathways, credentials, or connections are available, lawful, appropriate, accredited, licensed, recognized, or enforceable in every state, country, school district, agency, employer, or jurisdiction. You are responsible for complying with laws, policies, eligibility rules, immigration rules, work authorization rules, education requirements, employer requirements, and program requirements that apply to You.

7. Warranty Disclaimer

To the fullest extent permitted by applicable law, the Services, Content, AI outputs, human coaching, recommendations, plans, matches, communications, and all related information are provided "as is," "as available," and "with all faults." Pepelwerk disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, compliance, suitability, uninterrupted operation, error- free operation, and results.

8. Limitation of Liability

To the fullest extent permitted by applicable law, pepelwerk, its affiliates, owners, officers, directors, employees, contractors, licensors, service providers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, enhanced, reliance, lost-profit, lost-revenue, lost-savings, lost-opportunity, lost-data, reputational, educational, employment, financial, emotional distress, personal injury, or other damages arising out of or related to the Services, even if pepelwerk has been advised of the possibility of such damages. To the fullest extent permitted by applicable law, pepelwerk’s total cumulative liability for all claims arising out of or related to the Services, whether in contract, tort, negligence, strict liability, statute, equity, or any other theory, will not exceed the greater of the amount You paid directly to pepelwerk for the specific Guidance Service giving rise to the claim during the three months before the event giving rise to liability or one hundred U.S. dollars. This limitation applies even if any limited remedy fails of its essential purpose. Nothing in this Agreement excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law, including liability that cannot lawfully be waived for intentional misconduct, fraud, certain statutory rights, or other non- waivable claims. In jurisdictions that do not allow exclusion of certain damages, pepelwerk’s liability will be limited to the maximum extent permitted by law.

9. Release and Assumption of Risk

You knowingly and voluntarily assume all risks associated with using the Services, interacting with human coaches, mentors, support providers, AI agents, automated tools, employers, schools, training providers, or other users, participating in meetings or activities, following recommendations, sharing information, or pursuing opportunities. To the fullest extent permitted by law, You release pepelwerk from claims arising from those risks, including claims based on reliance, disappointment, dissatisfaction, missed opportunities, interpersonal conduct, third-party misconduct, coach or contractor negligence, AI error, inaccurate information, or unsuccessful outcomes.

10. Indemnification

You agree to defend, indemnify, and hold harmless pepelwerk, its affiliates, owners, officers, directors, employees, contractors, licensors, service providers, and agents from and against any claims, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to Your use of the Services, Your reliance on Guidance, Your content, Your interactions with coaches or third parties, Your violation of this Agreement, Your violation of law, Your infringement of rights, or Your negligent, reckless, fraudulent, unlawful, or intentional conduct.

11. No Agency, Fiduciary, or Special Relationship

Use of the Services does not create an agency, employment, fiduciary, counselor- client, therapist-client, attorney-client, financial support provider-client, educational support provider-student, doctor-patient, recruiter-candidate, employer-employee, joint venture, partnership, or special relationship between You and pepelwerk or between You and any coach, mentor, support provider, AI agent, contractor, or third party, except as expressly stated in a separate written agreement signed by pepelwerk.

12. Success Stories, Earnings, Employment, and Outcome Claims Not

Typical Success stories, testimonials, employment outcomes, earning examples, learning achievements, connection examples, or user statements posted by users or pepelwerk may not represent typical, expected, verified, or guaranteed results. Results depend on individual circumstances, market conditions, eligibility, qualifications, location, effort, timing, third-party decisions, economic conditions, and other factors outside pepelwerk’s control. Pepelwerk does not guarantee any work, earn, learning, or connecting outcome and assumes no obligation or liability for the accuracy, reliability, or effectiveness of any success story, testimonial, or outcome claim.

13. Accuracy and Activity Tracking

The Services are intended to provide information and tools to encourage You to pursue Your work-life goals. Some Services may track activity, progress, preferences, interactions, goals, learning, applications, connections, or other user behavior ("Activity Tracking Services"). These Activity Tracking Services rely on information provided by You, inferred from Your use, obtained from third parties, or generated by automated systems. Activity Tracking Services are intended to provide a representation of Your activity and may be incomplete, delayed, inaccurate, duplicated, misclassified, or affected by user edits, third-party data, system limitations, or AI interpretation. You are responsible for reviewing, correcting, modifying, and verifying Your information. By using Activity Tracking Services, You acknowledge and agree that pepelwerk is not responsible or liable for any inaccuracy, omission, delay, or reliance on such data. These Terms supplement and are incorporated into the pepelwerk Terms of Use and related agreements. The pepelwerk Terms of Use govern in the event of any conflict.
