pepelwerk Terms of Use Effective Date: July 1, 2026 These Terms of Use are entered into by and between you and pepelwerk, LLC, doing business as pepelwerk ("pepelwerk," "Company," "we," "our," or "us"). These Terms govern your access to and use of pepelwerk websites, software, applications, accounts, digital tools, AI-enabled features, Talent Wallet, AI Career Assistant, marketplace, organization portal, content, communications, subscriptions, payment features, and related services, whether accessed through the internet, mobile application, third-party platform, in-person process, or other digital or offline service channel. Please read these Terms carefully. By accessing, registering for, creating an account, clicking to accept, purchasing, subscribing to, interacting with, or continuing to use any part of the platform, you agree to be bound by these Terms, the Privacy Policy, applicable payment terms, product-specific terms, user agreements, and any additional terms that expressly apply to the services you use. If you do not agree, you must not access or use the platform. These Terms include a binding arbitration agreement and class action waiver. These provisions affect your rights and should be reviewed carefully.
1. Acceptance of Terms
These Terms form a binding agreement between you and pepelwerk. You accept these Terms when you access or use the platform, create or maintain an account, click an "I Agree," "Accept," "Continue," or similar button, purchase or subscribe to services, submit information, interact with the AI Career Assistant, use the Talent Wallet, participate in the marketplace, or otherwise use any pepelwerk service. Where pepelwerk presents a clickwrap, checkbox, electronic signature, account setup acknowledgement, consent flow, order form, payment acceptance, or similar acceptance mechanism, you must affirmatively accept the applicable terms before using the relevant feature or service. Continued use may confirm acceptance of general platform terms where legally permitted, but continued use alone will not be treated as consent where applicable law requires a separate affirmative consent, including for certain biometric, sensitive-data, student-data, privacy, or regulated processing activities. You represent and warrant that you are at least eighteen years old or otherwise have the legal authority and required consent to use the platform. If you access or use the platform on behalf of an organization, school, employer, agency, sponsor, course provider, parent, guardian, or other legal entity, you represent and warrant that you have authority to bind that person or entity to these Terms. If you do not have that authority, you may not access or use the platform on behalf of that person or entity.
2. Definitions
For purposes of these Terms: "Platform" means pepelwerk’s websites, software, applications, portals, accounts, dashboards, databases, AI-enabled features, marketplace, Talent Wallet, AI Career Assistant, organization portal, payment administration tools, reporting tools, communications, content, services, and related technology. "AI Career Assistant" means pepelwerk’s artificial intelligence-enabled, automated, assisted-intelligence, recommendation, planning, guidance, matching, workflow, analytics, or decision-support features that may provide prompts, suggestions, plans, insights, recommendations, responses, pathways, or other outputs. "Talent Wallet" means the user-controlled digital profile, wallet, account, credential, proof, skills, career identity, verification, sharing, access, or related data-management feature made available through the platform. "Recommendations" means AI-generated, AI-assisted, automated, matched, ranked, scored, suggested, searched, analytic, predictive, or decision-support outputs generated or displayed by the platform, including career paths, learning options, jobs, skills, marketplace connections, funding options, sponsor activity, candidate matches, organization insights, or other suggested actions. Rankings and scores are heuristic and non-deterministic representations, not objective evaluations or endorsements. "Organizations" means employers, schools, districts, education service centers, agencies, workforce boards, government entities, sponsors, foundations, nonprofits, course providers, partners, resellers, customers, administrators, account owners, hiring users, or other entities that access or use the platform. "Marketplace" means the closed or controlled pepelwerk environment where users and organizations may discover, communicate, evaluate, match, sponsor, fund, purchase, sell, hire, be hired by, learn from, mentor, coach, support, or otherwise interact with other users, organizations, services, opportunities, courses, jobs, credentials, programs, funding sources, or marketplace participants. "User," "you," and "your" mean any guest, visitor, registered user, customer, individual, student, parent, guardian, educator, school administrator, employer, hiring company, recruiter, workforce agency, marketplace participant, sponsor, course provider, reseller, partner, service provider, administrator, representative, bot or automated tool operated by a person or entity, or any other person or entity that accesses, views, registers for, purchases, participates in, contributes to, or otherwise uses any part of the platform.
3. Platform Overview
Pepelwerk provides software tools, workflows, insights, information, marketplace access, AI-enabled features, data displays, recommendations, analytics, reports, communications, and related services as an Assisted Intelligence provider. The platform is designed to support user planning, workforce development, education pathways, hiring workflows, marketplace participation, skills visibility, funding activity, program management, and decision support. The platform is assistive only. Pepelwerk provides tools, information, recommendations, and technology-enabled support, but users and organizations remain responsible for their own decisions, legal compliance, judgments, actions, communications, transactions, hiring activity, enrollment activity, funding activity, and reliance on any output. Pepelwerk is not an employer, recruiter, staffing agency, employment agency, fiduciary, school, university, accreditor, lender, bank, money transmitter, payment processor of record, scholarship provider, grant maker, financial aid administrator, insurer, guarantor, legal advisor, tax advisor, accounting advisor, auditor, compliance officer, or decision- maker unless expressly stated in a separate written agreement signed by pepelwerk. Pepelwerk does not make hiring decisions, employment decisions, admissions decisions, education decisions, funding decisions, scholarship decisions, grant decisions, credentialing decisions, background-check decisions, eligibility decisions, compensation decisions, termination decisions, procurement decisions, or other legally significant decisions for users or organizations unless expressly stated in a separate written agreement signed by pepelwerk.
4. AI & Recommendation Disclosures
Pepelwerk may provide artificial intelligence, automation, matching, recommendation, scoring, search, ranking, reporting, analytics, generative, predictive, or decision-support features. All such outputs are probabilistic, informational, and assistive. Outputs may be incomplete, inaccurate, outdated, biased, inconsistent, unsuitable, unexpected, or wrong. Pepelwerk provides assistive, informational, and decision-support interactions through a combination of artificial intelligence and human coaching. These interactions may include prompts, questions, data-driven feedback, and structured inputs based on available information. These interactions are intended to support user reflection and independent decision- making and do not constitute advice, recommendations, or decisions on behalf of the user. Pepelwerk does not undertake any duty to ensure that such interactions or outputs are accurate, complete, fair, or suitable for any specific purpose, and users remain solely responsible for all decisions and outcomes. AI does not make decisions for users or organizations. AI does not replace human judgment, professional advice, legal compliance, employer responsibility, school responsibility, organizational responsibility, meaningful human review, accommodation processes, appeal processes, adverse-action processes, validation, audit requirements, or documentation obligations. Users must independently evaluate all results, recommendations, matches, outputs, reports, communications, and insights before relying on or acting on them. Users assume full responsibility for any use of or reliance on outputs, whether in whole or in part. Pepelwerk does not represent any candidate, user, organization, course, job, credential, funding source, sponsor, opportunity, or marketplace participant as "best," "optimal," "qualified," guaranteed, preferred, endorsed, or suitable for any particular decision or outcome. Pepelwerk does not undertake any duty to ensure that outputs are fair, unbiased, accurate, optimal, or suitable for any specific user, job, or decision context. Pepelwerk does not guarantee that all AI outputs are explainable, interpretable, or auditable in a user-understandable manner. Pepelwerk does not guarantee employment outcomes, candidate fit, career success, hiring success, admission, enrollment, credential completion, scholarship, grant, funding, income, promotion, compensation, marketplace transaction, employer response, learner response, course completion, business result, compliance result, or any other outcome. Users and organizations remain solely responsible for providing accurate information, applying meaningful human review, using job-related and lawful criteria, obtaining professional advice where appropriate, complying with applicable law, and making final decisions independently.
5. User Responsibilities
You are responsible for your own account activity, information, decisions, submissions, permissions, consents, notices, legal compliance, communications, hiring or enrollment choices, reliance on information, and interactions with pepelwerk, pepelwerk employees, other users, customers, partners, vendors, and third parties. You agree to provide accurate, complete, current, lawful, and non-misleading information when creating an account, using the platform, submitting data, posting content, creating profiles, posting jobs, posting courses, requesting sponsorship, offering services, confirming enrollment, confirming completion, using AI features, or participating in marketplace activity. You are responsible for maintaining the confidentiality and security of your username, password, account credentials, devices, access permissions, and account activity. You must notify pepelwerk immediately if you suspect unauthorized access, credential loss, fraud, misuse, or other security issue. You may not impersonate any person or entity, misrepresent your identity, misrepresent your authority, create deceptive accounts, submit false information, provide fraudulent credentials, misuse another person’s information, or use the platform for fraud, deception, harassment, unlawful activity, or unauthorized purposes.
6. Acceptable Use / Conduct
You may use the platform only for lawful, authorized, and intended purposes and in accordance with these Terms. You agree not to use the platform in any way that violates applicable federal, state, local, or international law or regulation. You may not manipulate, game, distort, misrepresent, poison, jailbreak, prompt-inject, interfere with, benchmark, exploit, or attempt to improperly influence AI outputs, recommendations, rankings, matches, scores, analytics, or platform results. You may not use the platform or any output for unlawful discrimination, harassment, retaliation, exclusion, targeted mistreatment, unauthorized surveillance, deceptive job postings, unauthorized background checks, unlawful employment screening, unauthorized student profiling, unfair eligibility decisions, or any use that violates employment, education, privacy, civil rights, consumer protection, biometric, automated decision-making, accessibility, or data-protection laws. You may not scrape, crawl, harvest, mine, copy, train models on, extract data from, reverse engineer, decompile, disassemble, interfere with, circumvent, overload, attack, probe, scan, test vulnerabilities, introduce malware, bypass security, bypass payment rules, or misuse any pepelwerk system, model, data, content, output, feature, or service. You may not upload or transmit content that is unlawful, false, misleading, defamatory, obscene, abusive, threatening, harassing, hateful, discriminatory, violent, infringing, invasive of privacy, harmful to minors, malicious, fraudulent, or otherwise objectionable. Pepelwerk may remove content, suspend accounts, restrict access, pause matching, hide profiles, deny transactions, hold funds, reject activity, or terminate access if pepelwerk determines that conduct is inaccurate, unauthorized, unsafe, unlawful, discriminatory, deceptive, harmful, inconsistent with marketplace standards, inconsistent with these Terms, or likely to expose pepelwerk or any user to risk.
7. Marketplace Disclaimer
Pepelwerk operates a marketplace and technology platform that may allow users to discover, communicate with, evaluate, match with, purchase from, sell to, hire, be hired by, learn from, mentor, coach, sponsor, support, or otherwise interact with other users, organizations, providers, and third parties. Pepelwerk does not vet all users, verify all credentials, guarantee matches, guarantee transactions, guarantee user identity, guarantee employer response, guarantee candidate fit, guarantee course quality, guarantee provider performance, guarantee job postings, guarantee funding, guarantee sponsorship, or participate in hiring decisions unless expressly stated in a separate written agreement signed by pepelwerk. Pepelwerk does not certify, validate, endorse, or guarantee any user, credential, qualification, opportunity, or representation. Transactions, communications, negotiations, hiring decisions, employment relationships, contractor relationships, educational enrollments, mentoring relationships, coaching relationships, training relationships, procurement decisions, payments, disputes, and other interactions are solely between the participating users and organizations. Unless expressly stated in a written agreement signed by pepelwerk, pepelwerk is not a party to independent agreements, hiring decisions, employment relationships, contractor relationships, educational enrollments, mentoring relationships, training relationships, procurement decisions, transactions, communications, or disputes between users. Pepelwerk does not endorse, supervise, control, warrant, verify, or guarantee any user, employer, candidate, student, educator, school, agency, sponsor, partner, customer, course provider, job posting, opportunity, credential, statement, background, skill, qualification, content, service, payment, communication, or outcome.
8. Talent Wallet & Data Usage
Users retain ownership of the content and data they lawfully submit to the platform, including Talent Wallet information, profile information, career identity, preferences, credentials, proof, skills, and user-generated content, subject to the rights granted in these Terms, the Privacy Policy, applicable consent flows, and applicable written agreements. By submitting, uploading, connecting, authorizing, displaying, transmitting, or otherwise making content or data available through the platform, you grant pepelwerk and its affiliates, vendors, service providers, licensors, successors, and assigns a worldwide, non- exclusive, royalty-free, transferable, sublicensable license to host, store, process, transmit, display, reproduce, adapt, analyze, de-identify, aggregate, secure, troubleshoot, support, provide, improve, personalize, market, develop, test, and operate the platform. This license includes use for matching, recommendations, AI-enabled features, AI training where permitted by law and applicable consent or contract, analytics, marketplace functionality, fraud prevention, security, compliance, support, product improvement, reporting, research, service quality, and development of new or improved services. Pepelwerk may use de-identified, aggregated, pseudonymized, or non-personally identifying information derived from user activity for product improvement, artificial intelligence, fraud prevention, security, workforce and skills analytics, predictive analytics, community data, marketplace integrity, and service quality improvement where permitted by law. You represent and warrant that you own, control, or otherwise have all rights, permissions, notices, consents, authorizations, and legal authority necessary to submit, upload, connect, disclose, process, or authorize processing of any content or data, including personal information, education records, student information, employment information, biometric information, confidential information, intellectual property, or third-party content.
9. Organization-Specific Terms
Organizations are responsible for their own account activity, authorized users, administrators, data submissions, notices, consents, payment information, opportunity descriptions, job postings, course profiles, sponsorships, communications, hiring activity, education activity, reporting activity, and compliance obligations. Organizations must comply with all applicable employment, labor, wage and hour, immigration, equal employment opportunity, anti-discrimination, accessibility, pay transparency, consumer reporting, background check, artificial intelligence, automated decision-making, biometric, privacy, student data, education, procurement, record retention, tax, and notice laws. Organizations may not use AI outputs, recommendations, matching results, rankings, scores, analytics, Talent Wallet information, profile data, credentials, or platform reports in a discriminatory manner or as the sole basis for an adverse employment, education, funding, eligibility, benefits, admission, credentialing, or similar decision where human review or legal compliance is required. Employers and hiring users remain solely responsible for final decisions, meaningful human review, job-related criteria, lawful notices and consents, accommodations, adverse action procedures, audits, validation, documentation, data retention, and compliance with federal, state, local, and international laws. Schools, districts, education service centers, government agencies, educators, administrators, students, parents, guardians, and users accessing a school or agency portal are responsible for determining whether and how the platform may be used in their educational or public-sector environment, providing required notices, obtaining required consents, designating authorized users, configuring access, limiting data collection, managing student participation, responding to parent or student rights requests, and complying with student privacy, education records, children’s information, procurement, accessibility, and data-security laws.
10. Fees & Payments
Certain platform features, subscriptions, services, marketplace activities, course postings, sponsorship activities, access codes, transactions, or organization tools may require fees, payment methods, purchase orders, subscriptions, service fees, transaction fees, administrative fees, marketplace fees, payment processing fees, or other amounts. You agree to pay all fees and charges that apply to your use of the platform and any services you purchase, subscribe to, activate, post, request, sponsor, or otherwise use. Fees are due according to the applicable order, invoice, payment terms, subscription terms, marketplace rules, product terms, or written agreement. All purchases through the platform, web-based portal, marketplace, organization portal, or services made on your behalf are governed by applicable payment terms, which are incorporated into these Terms by reference. Additional payment, payout, refund, sponsorship, stipend, course-provider, organization, or marketplace terms may apply to specific services. Pepelwerk may suspend or terminate access, restrict features, pause matching, hide profiles, withhold or offset payouts, deny new activity, require updated payment methods, impose late fees or collection costs where permitted, or pursue other remedies if amounts due are not paid when required. Unless expressly stated in a separate written agreement signed by pepelwerk, pepelwerk does not act as a bank, lender, money transmitter, payment processor of record, fiduciary, trustee, regulated escrow agent, scholarship provider, grant maker, financial aid administrator, or guarantor of payments, funds, sponsorships, stipends, payouts, or marketplace transactions.
11. Intellectual Property
Pepelwerk and its licensors own all rights, title, and interest in and to the platform, software, applications, websites, designs, user interfaces, workflows, dashboards, databases, algorithms, AI models, data models, matching methods, recommendation logic, analytics, reports, taxonomies, documentation, brands, trademarks, service marks, logos, proprietary processes, content, and technology. Except for the limited rights expressly granted to you, no right, title, or interest in the platform or pepelwerk intellectual property is transferred to you. All rights not expressly granted are reserved by pepelwerk. You may not copy, modify, distribute, sell, lease, sublicense, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, reverse engineer, decompile, disassemble, extract, scrape, benchmark, train models on, or otherwise exploit the platform or any pepelwerk content, data, software, model, algorithm, output, or technology except as expressly permitted by these Terms or a written agreement signed by pepelwerk. Users retain ownership of content they lawfully submit, subject to the license granted to pepelwerk in these Terms. You grant pepelwerk the rights necessary to host, display, process, analyze, match, recommend, secure, support, improve, and operate the platform in connection with your content and data. You may not use pepelwerk names, logos, slogans, product names, service names, trademarks, or branding without pepelwerk’s prior written permission.
12. Privacy & Data
Pepelwerk’s collection, use, processing, sharing, retention, deletion, and protection of personal information, customer data, marketplace data, student data, biometric data, sensitive data, de-identified data, and aggregated data are described in pepelwerk’s Privacy Policy and any applicable data privacy notices, biometric data consent, product terms, customer agreements, or legally required disclosures. By using the platform, you acknowledge that your information will be handled in accordance with the Privacy Policy and applicable law. Where required by law, pepelwerk will provide separate notice, consent, opt-in, authorization, or other legally sufficient mechanism before collecting, using, storing, disclosing, or processing certain sensitive information, biometric identifiers, biometric information, student data, children’s information, or other regulated data. Pepelwerk does not rely on continued use alone as consent to collect, use, store, or disclose biometric identifiers or biometric information where affirmative consent is required by applicable law. Biometric information will be collected, used, stored, or disclosed only after the individual receives applicable notice and provides affirmative written, electronic, or other legally sufficient consent through the Biometric Data Consent or another pepelwerk-approved consent process. Pepelwerk does not sell, lease, trade, or otherwise profit from the sale, lease, or trade of biometric data. Pepelwerk may collect, use, process, store, retain, disclose, and protect biometric data only as described in applicable biometric notices, the Privacy Policy, these Terms, applicable product terms, and applicable law. Users and organizations are responsible for providing required notices, obtaining required consents, determining lawful bases for processing, responding to end-user requests where legally required, and ensuring that they have authority to provide data to pepelwerk. Customers and users remain responsible for their own misuse of data, inaccurate submissions, unauthorized disclosures, and violations of law or pepelwerk policies.
13. Disclaimers of Warranties
Your use of the platform, content, AI outputs, recommendations, marketplace activity, communications, and any services or items obtained through the platform is at your own risk. To the fullest extent permitted by applicable law, the platform, content, AI outputs, recommendations, matches, analytics, reports, communications, marketplace activity, third-party content, user-generated content, services, and all related information are provided "as is," "as available," and "with all faults," without warranties of any kind, whether express, implied, statutory, or otherwise. Pepelwerk disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, completeness, timeliness, security, compliance, suitability, uninterrupted operation, error-free operation, results, employment outcome, candidate fit, marketplace outcome, education outcome, funding outcome, or career success. Pepelwerk does not warrant that the platform will be uninterrupted, error-free, secure, free of viruses or harmful components, accurate, complete, up to date, compatible with every device or jurisdiction, or suitable for your needs or expectations. Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited under applicable law.
14. Limitation of Liability
To the fullest extent permitted by applicable law, pepelwerk and its affiliates, owners, officers, directors, managers, members, employees, contractors, vendors, licensors, service providers, agents, successors, and assigns will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, enhanced, reliance, lost-profit, lost-revenue, lost-savings, lost-opportunity, lost-data, reputational, educational, employment, financial, emotional distress, personal injury, business interruption, loss of goodwill, or other damages arising out of or related to the platform, AI outputs, recommendations, matching results, marketplace interactions, communications, account activity, purchases, subscriptions, job postings, hiring activity, education portal use, user data, third-party content, or inability to use the platform, even if pepelwerk has been advised of the possibility of such damages. To the fullest extent permitted by applicable law, pepelwerk’s total cumulative liability for all claims arising out of or related to the platform, services, these Terms, AI outputs, recommendations, marketplace activity, data, purchases, subscriptions, or any relationship between you and pepelwerk will not exceed the greater of: (a) the amount you paid directly to pepelwerk for the specific service giving rise to the claim during the three months before the event giving rise to liability; or (b) one hundred U.S. dollars. If an organization has a separate written agreement signed by pepelwerk that expressly provides a different liability cap, that written agreement controls for the specific services covered by that agreement. Pepelwerk is not liable for amounts expected from, promised by, represented by, owed by, or intended to be paid by any learner, sponsor, organization, funder, employer, school, foundation, workforce program, course provider, marketplace participant, or other third party. Each user accesses, views, registers for, purchases, participates in, contributes to, relies on, communicates through, or otherwise uses the platform voluntarily and at the user’s own risk. If a user disagrees with or is dissatisfied with the platform, these Terms, the Privacy Policy, communications, recommendations, platform design, data practices, content, employees, other users, customers, partners, or any interaction occurring through or because of the platform, the user’s sole practical remedy is to stop using the platform, delete or deactivate the account where available, remove or request removal of content where available, unsubscribe from optional communications, opt out where applicable, discontinue interactions, or avoid future engagement. Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
15. Indemnification
You, and each organization on whose behalf you access or use the platform, agree to defend, indemnify, and hold harmless pepelwerk and its affiliates, owners, officers, directors, managers, members, employees, contractors, vendors, licensors, service providers, agents, successors, and assigns from and against all claims, liabilities, damages, judgments, awards, losses, costs, expenses, penalties, fines, and fees, including reasonable attorneys’ fees, arising out of or relating to your or your organization’s use of the platform. This indemnity includes claims arising out of or relating to your or your organization’s data, content, account activity, job postings, hiring decisions, employment practices, student data submissions, school or agency use, course postings, sponsorship activity, payment activity, misuse of AI outputs, reliance on recommendations, regulatory violations, violation of law, violation of rights, unlawful discrimination, unauthorized data processing, failure to provide notices or obtain consents, security failures caused by you or your organization, interactions with other users, marketplace disputes, third-party disputes, breach of these Terms, or use of the platform other than as expressly permitted. Pepelwerk reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with pepelwerk’s defense of those claims.
16. Termination
Pepelwerk may suspend, restrict, disable, or terminate your access to all or part of the platform at any time, with or without notice, if pepelwerk determines that you violated these Terms, failed to pay amounts due, submitted inaccurate or unlawful information, misused AI outputs, engaged in fraud or abuse, created legal or security risk, violated marketplace standards, violated applicable law, or used the platform in a way that may harm pepelwerk, users, customers, partners, vendors, or third parties. Pepelwerk may remove or refuse to post content, restrict features, deactivate profiles, pause matching, deny transactions, hold funds, reject activity, disable accounts, revoke access codes, terminate subscriptions, or take legal action where appropriate. You may stop using the platform at any time. Where available, you may delete or deactivate your account, remove or request removal of content, unsubscribe from optional communications, opt out of certain processing, or discontinue use. Account deletion or deactivation may not remove information that pepelwerk is required or permitted to retain for legal, security, fraud-prevention, audit, payment, contractual, dispute-resolution, compliance, backup, or legitimate business purposes. Sections that by their nature should survive termination will survive, including ownership, data licenses, privacy, disclaimers, limitation of liability, indemnification, dispute resolution, payment obligations, audit rights, compliance obligations, and any terms necessary to enforce these Terms.
17. Dispute Resolution
These Terms and any dispute or claim arising out of or relating to the platform, services, Privacy Policy, user data, AI outputs, recommendations, marketplace interactions, communications, account activity, purchases, subscriptions, job postings, hiring activity, education portal use, or any relationship between you and pepelwerk will be governed by the internal laws of the State of Texas, without giving effect to any conflict-of-law rule. To the maximum extent permitted by law, any claim, dispute, or controversy arising out of or relating to these Terms, the platform, services, Privacy Policy, user data, AI outputs, recommendations, marketplace interactions, communications, account activity, purchases, subscriptions, job postings, hiring activity, education portal use, or any relationship between you and pepelwerk will be resolved individually through binding arbitration and not in court, except for claims that cannot legally be arbitrated or waived. You and pepelwerk waive the right to a jury trial and waive the right to bring, join, maintain, or participate in any class, collective, consolidated, representative, mass, private attorney general, or similar proceeding to the maximum extent permitted by law. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim. The arbitration will be administered by the American Arbitration Association under its applicable rules then in effect. The Federal Arbitration Act will govern the interpretation and enforcement of this arbitration agreement. Notwithstanding the foregoing, pepelwerk may seek temporary, preliminary, or permanent injunctive or equitable relief in any court of competent jurisdiction for actual or threatened intellectual property misuse, data scraping, unauthorized access, platform abuse, security incidents, confidentiality breaches, non-circumvention, misuse of data, or conduct that may harm the platform, pepelwerk, or other users. Any cause of action or claim you may have arising out of or relating to these Terms or the platform must be commenced within one year after the cause of action accrues, unless a longer period is required by applicable law. Otherwise, the claim is permanently barred.
18. Changes to Terms
Pepelwerk may revise, update, modify, or replace these Terms from time to time in its sole discretion. Changes may be made to reflect updates to platform functionality, AI features, marketplace activity, data practices, payment processes, legal requirements, business operations, risk controls, or other operational needs. Changes are effective when posted, made available through the platform, presented through an account interface, included in a clickwrap or consent flow, sent by email, or otherwise communicated through a legally valid method. Your continued access to or use of the platform after updated Terms become effective means that you accept the updated Terms, except where applicable law requires additional notice or consent. If pepelwerk makes material changes to provisions involving privacy, biometric data, sensitive data, student data, AI-related data uses, arbitration, payment obligations, or other legally significant terms, pepelwerk may provide additional notice or seek additional consent where required by law.
