Early Termination by Customer

The Agreement is entered into for a fixed contractual term. Customer acknowledges that the pricing, discounts, implementation costs, service fees, and other commercial terms provided by Pepelwerk are based upon Customer's commitment to the full contract term.

Customer shall pay (i) all fees remaining through the end of the contract term, plus (ii) reimbursement of all discounts, waived fees, promotional credits, implementation concessions, and pricing reductions provided by Pepelwerk, such that Pepelwerk receives the full undiscounted value of the Agreement that would have been paid had no discount been granted.

No Right to Cancel Without Financial Obligation

Customer may request termination of the Agreement prior to the expiration of the contracted term; however, such termination shall not relieve Customer of any payment obligations owed to Pepelwerk.

Early Termination Charges

If Customer terminates the Agreement, cancels services, ceases use of the platform, fails to renew after making a longer-term commitment, or otherwise causes the Agreement to end before the expiration of the contract term, Customer shall immediately become liable for:

A. Remaining Contract Value

One hundred percent (100%) of all fees, subscription charges, platform fees, service fees, and other amounts that would have become due through the end of the original contract term.

B. Repayment of All Discounts and Concessions

Full reimbursement of all discounts, credits, promotional pricing, implementation fee waivers, onboarding discounts, negotiated price reductions, free service periods, or other financial concessions provided by Pepelwerk during the term of the Agreement.

For purposes of this provision, the repayment amount shall equal the difference between:

• Pepelwerk's standard pricing in effect at the time of contracting; and
• The discounted pricing actually paid by Customer.

C. Collection Costs

Any costs incurred by Pepelwerk to recover unpaid amounts, including reasonable attorneys' fees, collection agency fees, court costs, and related expenses where permitted by law.

Acceleration of Payments

Upon early termination, all amounts described above shall be immediately accelerated and become due and payable in full within fifteen (15) days of the termination effective date.

Survival

Customer's payment obligations under this section shall survive termination, expiration, non-renewal, suspension, account deactivation, discontinuation of use, or any other ending of the Agreement.

No Offset

Customer may not withhold, offset, reduce, dispute, or delay payment of any early termination amounts based on actual usage, non-usage, internal budgeting decisions, staffing changes, business conditions, dissatisfaction with outcomes, or a decision to discontinue recruiting activities.

These Payment Terms supplement and are incorporated into the pepelwerk Terms of Use, Org Portal User and Account Agreement, and applicable product agreements. The Terms of Use govern in the event of any conflict.
